Exclusive Referral & Membership Affiliate Program (ERMAP) Terms and Conditions:

In these Terms and Conditions, the Exclusive Referral & Membership Affiliate Program (ERMAP) is hereafter referred to as “ERMAP,” and any active Tier 1 GREENSTER Community Members, Tier 2 GREENSTER Support Membership, and Tier 3 GREENSTER Pioneer Membership holders eligible to join ERMAP are hereafter referred to as “Referrer”, “Referrer Person”, “Referrers” and “Person Referring”, “Referring Users”.

Definitions:

Referrers / Referrer Person / Person Referring: An active GREENSTER member who shares referral offers and promotes GREENSTER products and initiatives.
Referred Person / Person Invited: Friends, family members, non-members, or approved end buyers who are referred to GREENSTER by a Referrer Person / Person Referring.
GREENSTER Cash Rewards Bonuses: These are earned cash equivalents provided to any active GREENSTER member for successful referrals and for any qualified purchases made on the online GREENSTER Marketplace by the Person Referring and their Invited Person. Cash Rewards Bonuses are redeemable for cash credits and discounts at the online GREENSTER Marketplace.
GREENSTER Cashback Supercheque Bonuses: These are earned cashback payments provided to any active GREENSTER Tier 2 and Tier 3 members for successful referrals and/or for any qualified purchases made on the online GREENSTER Marketplace by the Person Referring and their Invited Person. Cashback Supercheque Bonuses are redeemable as a deposit into the GREENSTER member’s debit card or bank account, for purchases of GREENSTER products and services, as credit, cheque, gift card, discounts, and potentially other options at the online GREENSTER Marketplace.

Scope of ERMAP Terms and Conditions

The “Referrer” agrees to promote GREENSTER’s membership, products/services through approved marketing channels and strategies as outlined by the Company. By signing up for the GREENSTER eGift Card, GREENSTER Memberships, you agree to receive marketing communications from us via email, post, SMS, or phone call. We promise to only send you relevant offers, updates, and promotions related to GREENSTER products and services.
GREENSTER grants the “Referrer” a non-exclusive, non-transferable right to market and refer customers to GREENSTER in exchange for agreed-upon Cash Reward Bonus.
The ERMAP Terms and Conditions outlined herein begins upon the sign on process.

“Referrer” Responsibilities

The “Referrer” shall diligently promote GREENSTER’s membership, products/services using ethical marketing practices and in compliance with all applicable laws and regulations.
The “Referrer” shall not engage in misleading, deceptive, or unethical marketing practices that could harm GREENSTER’s reputation or brand.
The “Referrer” shall use only approved marketing materials provided by GREENSTER for promotional purposes. Any modifications to these materials must be pre-approved by GREENSTER.

Reward Points Terms and Conditions

A. Earn Rewards:

For every successful referral made or purchase through the “Referrer” link, the “Referrer” will earn Cash Reward Bonus.
Cash Reward Bonus can be redeemed for cash bonuses, credits, and discounts at the GREENSTER Marketplace.
Referrers will earn Cash Reward Bonus when their friends and family purchase any GREENSTER qualified products or services.
If a referral results in the purchase of a GREENSTER unit, the Referrer will receive will earn a 1% Cash Rewards Bonus for every $1 spent on any qualified purchases on the GREENSTER Marketplace.

B. Redemption:

Cash Rewards Bonuses: These bonuses are redeemable for cash credits and discounts at the online GREENSTER Marketplace. With your Free Tier 1 GREENSTER Community membership, you can accumulate enough Cash Reward Bonuses to pay for your very own GREENSTER unit, or other qualified products and services.

Cash Reward Bonus earned through successful referrals or purchases can be redeemed for rewards as specified by GREENSTER.
Rewards may include cash bonuses, credits towards future purchases, or discounts on GREENSTER qualified products or services.
Redemption options and terms may vary and are subject to change at the discretion of GREENSTER.
Convert your Cash Rewards Bonuses into Cashback Supercheque Bonus: If you are a Tier 2 or Tier 3 member, you can convert most of those Cash Rewards Bonuses into Cashback Supercheque Bonuses, which may be redeemable as a deposit into the GREENSTER member’s debit card or your bank account, for purchases of GREENSTER products and services, as credit, a cheque, a gift card, discounts, and potentially other options at the online GREENSTER Marketplace.

C. Accumulation and Expiry:

Cash Reward Bonus will accumulate in the Referrer’s account and can be redeemed at any time, subject to the redemption terms and conditions.
Cash Reward Bonus do not have an expiration date, provided that the Referrer maintains an active account with GREENSTER.

D. Transferability:

Cash Reward Bonus are non-transferable and may not be exchanged for cash or transferred to another individual or account.

E. Fraud and Abuse:

GREENSTER reserves the right to investigate and take action against any instances of fraud, abuse, or misuse of the Cash Reward Bonus program.
Any fraudulent or abusive behavior may result in the forfeiture of Cash Reward Bonus and termination of the Referrer’s account.

F. Modification and Termination:

GREENSTER reserves the right to modify, suspend, or terminate the Cash Reward Bonus program at any time, with or without prior notice.
Any changes to the program will be communicated to Referrers through appropriate channels, and continued participation in the program will constitute acceptance of these changes.

G. GREENSTER will award the “Referrer” for referred customers who complete a membership purchase through the Referrer’s unique referral link or code.

H. Cash bonuses, discounts payment terms, and payment structures shall be outlined separately in an addendum or schedule attached to this ERMAP Terms and Conditions.

I. In order to receive cash bonuses, discounts payment under this ERMAP Terms and Conditions, the “Referrer” must have:

(i) agreed to the GREENSTER Terms and Conditions outline in the website greenster.energy (generally completed through the www.greenster.energy);
(ii) completed all steps necessary to create your account in the membership page in accordance with our directions,
(iii) have a valid and up-to-date payment method in the Membership Platform with such account
(iv) completed any and all required tax documentation in order for the Membership Platform to process any Cash Reward Bonus, cash bonusses and payments that may be owed to you.

J. By participating in the GREENSTER Exclusive Referral & Membership Affiliate Program (ERMAP), Referrers acknowledge that they have read, understood, and agreed to abide by these Terms and Conditions. For questions or concerns regarding the ERMAP, Referrers may contact GREENSTER’s customer support team for assistance.

Independent Contractor Status

The “Referrer” acknowledges and agrees that they are an independent contractor and not an employee, partner, joint venture, or representative of GREENSTER. The “Referrer” shall be responsible for their taxes and liabilities arising from their promotional activities.
Nothing contained in this ERMAP Terms and Conditions shall be deemed to constitute either party a partner, joint venture, or employee of the other party for any purpose.

Training and Support

We may make available to you, without charge, various webinars and other resources made available as part of our ERMAP. If we make such resources available to you, you will encourage your representatives and/or other relevant personnel to participate in training and/or other certifications as we recommend and may make available to you from time-to-time. We may change or discontinue any or all parts of the ERMAP benefits or offerings at any time without notice.

Privacy and Information

All personal information collected and processed as part of this ERMAP will be used in accordance with GREENSTER by Global Hydrogen Energy, Corp.’s Privacy Policy, available at [https://members.greenster.energy/privacy-policy-cookie-policy/]. Under the applicable laws and regulations, GREENSTER by Global Hydrogen Energy, Corp. shall be responsible for collecting and processing such personal information.
You undertake to respect the privacy rights of the people you invite to our ERMAP and direct to our website.
When referring other people, you must always inform them about the applicable terms and conditions and privacy policy. You must do so before they participate in the ERMAP, and leave their personal information.

General

These ERMAP Terms are published by GREENSTER by Global Hydrogen Energy, Corp. (“we”, “us”, and “our”). Our ERMAP as displayed on our website [https://greenster.energy/] and these Terms form a binding agreement for both Referring Users (“you” or “your(s)” and “Referrer”) and people who receive our referral invitation.
This ERMAP permits you to invite your contacts to participate in one or more ERMAP(s) campaigns.
You may only invite personal friends, family members, acquaintances, and colleagues to this ERMAP.

Completed and Successful Referrals and Limit

A Completed and Successful Referral is when a Referring User refers this Program to one of its contacts. Subsequently, that contact will either sign-up, make a purchase or complete whatever action is determined as a referral above – which is not cancelled or disputed in accordance with Reward Points Terms and Conditions.
A limit to the number of referrals by Referring Users may apply. Or we may specify a maximum number of Completed Referrals who are eligible for the benefits of this Program.
All referred people must be new and first-time Users. Existing Users cannot participate in and benefit from the ERMAP.
You represent all personal information is 100% correct and up to date. We may monitor your use of the ERMAP or request your ID to verify your identity before issuing rewards.

Restrictions

This Program cannot be combined with other GREENSTER by Global Hydrogen Energy, Corp.’s ERMAPs, discounts, vouchers, benefits, or incentives. By participating in this ERMAP, we may restrict you from any other promotion, program, discount, or vouchers.
You understand and agree that you must not use referral methods that are bothersome to the recipients. Moreover, your participation in the ERMAP must not violate the applicable law, including but not limited to anti-Spam legislation, which is mass distribution of unsolicited messages.
You must not publish our ERMAP on any sites or platforms that house any Adult Content, Alcohol, Tobacco, Gambling, Games and Online Casinos, Political Content, and any form of illegal activities.
You must not at any time, invite or refer people who are unknown to you.
You must only use our ERMAP for personal use and refrain from its use for commercial purposes.

Term and Termination

This ERMAP will run until the announced date and that date can be extended or restricted. We may also in our sole discretion notify Users that the ERMAP or Referral Campaign has ended with immediate effect.
Any referral made before the end of the ERMAP can still participate. However, we may exclude referrals in our sole discretion made after its termination date.
We may terminate this ERMAP at any time, including your participation or the availability of its benefits.
This ERMAP Terms and Conditions will apply for as long as you participate in the ERMAP, until terminated.
Either party may terminate this ERMAP Terms and Conditions by providing a 30-day written notice to the other party prior to the end of the then-current term.
GREENSTER reserves the right to terminate the Referrer if the Referrer breaches any material term and conditions of this ERMAP Terms and Conditions and fails to remedy the breach within 30 days of receiving written notice.
Upon termination, the Referrer shall immediately cease all promotional activities related to GREENSTER and return or destroy any confidential information or proprietary materials received from GREENSTER.
Upon termination of this ERMAP Terms and Conditions for any reason other than the insolvency of GREENSTER / GHE or GREENSTER / GHE ceasing to conduct business in the ordinary course and its obligations hereunder are not assumed by a third party: (1) all rights and licenses granted to Referrer hereunder shall immediately cease; (2) GREENSTER / GHE shall terminate Referrer’s access to the Services; (3) Referrer shall immediately cease use of the Services (including access to online platform) in any manner whatsoever, and delete and return all copies of Products, Documentation and other related materials to the ERMAP; and (4) all payments owed to either party shall be immediately due and payable. Should GREENSTER / GHE become insolvent and cease to conduct business in the ordinary course without its obligations hereunder being assumed by a third party.

Exclusive Relationship

You understand and agree that you are only the User of our services and/or products, and refrain from implying any other affiliation or legal relationship with us.
You understand and agree that you are never authorized to legally bind our company.
You must never create any materials that contain our branding, trademark, (part of) our corporate identity.
By participating in the ERMAP you must not represent yourself in duplicate, agent, or intermediary of our company.

Amendments

We may amend the terms and conditions of our ERMAP. We may offer and/or restrict additional incentives, benefits, and programs. As a result, additional terms may apply. You agree that you are aware of those amended and additional terms.

Violations and Termination

In case we suspect any violations of these terms or otherwise tampering with, fraud or unreasonable use of our ERMAP, we may in our sole discretion cancel the distribution of any discount, benefit or payout.
If you are a current or former employee, contractor, referrer, or affiliate of our company, we may restrict your participation in the ERMAP, and we may restrict or cancel your participation with immediate effect.
You must comply with all applicable laws and regulations and refrain from violating any third-party rights. These rights include any copyright, trademark, or other proprietary rights.

Disclaimer and Indemnification

We offer our ERMAP and its benefits only on an “as is” and “as available” basis. We may remove, change, and update the ERMAP in our sole discretion. We will never make any promises or guarantees about the content and information of our ERMAP.
Our ERMAP is based on our best efforts. You acknowledge and agree that we can never guarantee any benefit or result from participating in the ERMAP.
You will defend, indemnify and hold [Customer Name] harmless from and against all claims, damages, liabilities, losses, expenses and costs (including reasonable attorney’s fees) arising out of your participation in the ERMAP.

No Correspondence, Disputes And Refunds

With regards to the distribution of discounts, vouchers, incentives, prizes, awards, or other benefits, no correspondence will be entered into. Moreover, we shall never respond to any complaint or accept any dispute about the ERMAP, and the abovementioned benefits are provided “as is” and we never refund or exchange such benefits.

Force Majeure

Neither party will be responsible for failure or delay of performance if caused by: an act of war, hostility, or sabotage; act of God; electrical, internet, or telecommunication outage that is not caused by the obligated party; government restrictions; or other event outside the reasonable control of the obligated party.
Each party will use reasonable efforts to mitigate the effect of a force majeure event.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the term of this ERMAP Terms and Conditions, including customer lists, business strategies, and financial information. For purposes of this ERMAP Terms and Conditions, “Confidential Information” shall include any information, material, data, or know-how, including trade secrets and proprietary information, that is not generally known to the public and that is disclosed, either written or orally, to be or appears to a reasonable person to be proprietary or confidential. If Confidential Information is in written form, Disclosing Party shall label or stamp the materials with the word “Confidential” or some similar warning. If Confidential Information is transmitted orally, Disclosing Party shall promptly provide notice in writing indicating that such oral communication constituted Confidential Information.
Receiving Party shall hold and maintain the Confidential Information in strictest confidence for the sole and exclusive benefit of Disclosing Party. Receiving Party shall carefully restrict access to Confidential Information to employees, contractors, and third parties as is reasonably required and shall require those persons to sign nondisclosure restrictions at least as protective as those in this ERMAP Terms and Conditions. Receiving Party shall not, without prior written approval of Disclosing Party, use for Receiving Party’s own benefit, publish, copy, or otherwise disclose to others, or permit the use by others for their benefit or to the detriment of Disclosing Party, any Confidential Information. Upon written request by Disclosing Party, Receiving Party shall immediately return to Disclosing Party any and all records, notes, and other written, printed, or tangible materials in its possession pertaining to Confidential Information.
The nondisclosure provisions of this ERMAP Terms and Conditions shall survive the termination of this ERMAP Terms and Conditions and Receiving Party’s duty to hold Confidential Information in confidence shall remain in effect until the Confidential Information no longer qualifies as a trade secret or confidential or until Disclosing Party sends Receiving Party written notice releasing Receiving Party from this ERMAP Terms and Conditions, whichever occurs first.

Governing Law

This ERMAP Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Florida. Any disputes arising from this ERMAP Terms and Conditions shall be resolved through arbitration in the State of Florida, conducted in accordance with the rules of [arbitration body].

Entire ERMAP Terms and Conditions

This ERMAP Terms and Conditions constitutes the entire understanding between GREENSTER and the Referrer concerning the subject matter and supersedes all prior ERMAP Terms and Conditions, discussions, or representations.

By proceeding with the ERMAP Terms and Conditions, you acknowledge that you have read, understood, and agreed to the terms outlined in this ERMAP Terms and Conditions.

Please note that by participating in this ERMAP, you will only have a legal relationship with GREENSTER. You represent that you have read, understood, and agree to be bound by GREENSTER’s General Terms and Conditions outline on our website (https://members.greenster.energy/terms-and-conditions/) and its ERMAP Terms and Conditions.
